Intellectual Property Valuation in Corporate Transactions: Legal and Economic Approaches to Assessing Intangible Assets

Abstract
Intellectual property has become one of the most significant categories of intangible assets in modern corporate transactions. Patents, trademarks, copyrights, trade secrets, software, and related rights can represent substantial portions of a company's economic value and may significantly influence mergers, acquisitions, investments, licensing transactions, and corporate restructuring. Despite this importance, intellectual property valuation remains difficult because the economic value of intangible assets is often uncertain, context-dependent, and influenced by legal enforceability. This article examines the legal and economic dimensions of intellectual property valuation in corporate transactions and evaluates the principal methods used to determine the value of intangible assets. The analysis considers income-based, market-based, and cost-based valuation approaches and examines how legal factors affect the reliability of each method. Particular attention is given to the remaining duration of patent protection, trademark strength, geographical scope, ownership certainty, infringement risks, licensing history, market exclusivity, and technological obsolescence. The article further examines the importance of intellectual property due diligence in identifying hidden liabilities, ownership disputes, unregistered rights, restrictive licenses, and pending infringement claims. Comparative analysis demonstrates that valuation cannot be separated from legal assessment because an apparently valuable intellectual property asset may have limited commercial value if its enforceability or ownership is uncertain. The article argues that corporate transactions require an integrated valuation methodology combining financial analysis with detailed legal due diligence. It proposes a structured framework under which legal strength, commercial potential, competitive position, and remaining economic life are assessed collectively.
